These Terms & Conditions (“Terms”) are a legally binding agreement between you and Krishnasyam Adtech Private Limited (“Krishnasyam Adtech”, “we”, “us”), which owns and operates the Adlly platform (“Adlly”, the “Platform”). They govern your access to and use of Adlly, whether you join as a “Influencer” (a user who posts brand campaigns on their own social media timeline for payment) or as an “Advertiser” (a brand or business that runs campaigns).

By creating an account, accepting these Terms, or using the Platform, you confirm that you have read, understood and agree to be bound by them. If you do not agree, do not use Adlly. You must be at least 18 years old and competent to contract under Indian law.

1. Definitions

  • “Influencer” – a user who makes their personal social media timeline available as advertising space (“Social Adspace” / “Social Hoarding”) and posts approved campaigns for a per-post fee.
  • “Advertiser” – a brand, business or person that places a campaign on Adlly to be posted by Influencers.
  • “Campaign” – the creative content, instructions and budget submitted by an Advertiser for posting.
  • “Platform Fee” – the service fee/commission Adlly retains for connecting Advertisers and Influencers.

2. Our Role – We Are an Intermediary

Adlly is a technology marketplace that connects Advertisers with Influencers. We are not the author of campaign creatives, we do not own your social media accounts, and we do not control what brands or Influencers ultimately publish. We act as an intermediary facilitating these connections and the related payments. We are not a party to the underlying posting itself between an Advertiser and a Influencer, except as expressly stated in these Terms.

Payment structure: Adlly operates on an agency / vendor model. Advertisers pay Adlly for the advertising service; Adlly separately pays Influencers as vendors/contractors. Adlly is not a payment aggregator and does not hold funds on behalf of users beyond what is necessary to settle agreed campaign payments.

3. Eligibility & Accounts

  • You must be 18+, a resident of India, and legally able to enter contracts.
  • You must provide accurate, current and complete information and keep it updated.
  • You are responsible for all activity under your account and for keeping your credentials secure.
  • One person may hold only one Influencer account unless we approve otherwise. We may refuse, suspend or terminate accounts at our discretion.

4. Influencer Obligations

If you participate as a Influencer, you agree that:

  • You are an independent contractor, not an employee, agent or partner of Adlly or Krishnasyam Adtech. Nothing here creates an employment, partnership or joint-venture relationship.
  • You own or are fully authorised to use the social media account on which you post, and you comply with that platform’s own terms.
  • You will post the approved campaign exactly as instructed, for the required duration, without alteration unless agreed.
  • You will clearly disclose paid/sponsored content using the labels we specify (#Ad, #Sponsored, “paid partnership”, etc.), as required by ASCI and consumer-protection law. You are personally responsible for this disclosure.
  • You will submit honest proof of posting (live link + screenshot) and will not use bots, fake engagement, fake followers, or deceptive means.
  • You will not post content that is illegal, obscene, defamatory, infringing, misleading, or contrary to the campaign’s lawful instructions.
  • You are solely responsible for your own income tax on payments received; we will deduct TDS where the law requires and issue the relevant statements.

5. Advertiser Obligations

If you participate as an Advertiser, you agree that:

  • You own or are licensed to use all creative, trademarks, logos and content you submit, and that the campaign does not infringe any third-party rights.
  • Your campaign complies with all applicable laws, including ASCI Code, the Consumer Protection Act and its misleading-advertising rules, and sector-specific rules. You will not run campaigns for prohibited goods or services (e.g. illegal products, anything banned for advertising under Indian law).
  • Restricted categories – Adlly content standard: as a matter of Adlly’s platform policy, Adlly applies a brand-level (not merely campaign-level) restriction. The following are “Prohibited Materials”: (a) non-vegetarian food and meat of any kind; (b) eggs and egg-based products; (c) alcohol, liquor and alcoholic beverages; (d) paan masala and gutkha; (e) tobacco and tobacco products, cigarettes, e-cigarettes, vaping and smoking products; and (f) any product or service that is illegal under Indian law or whose sale or advertisement is prohibited or restricted.
  • Adlly will not approve, accept or run any campaign for a brand, business or entity that sells, cooks, prepares, serves, stocks, distributes, deals in or otherwise handles any Prohibited Material anywhere in its business, whether directly or indirectly, and whether or not the particular campaign submitted relates only to a vegetarian or otherwise permitted item. The restriction attaches to the whole brand, not to the individual campaign. By way of example, a mixed marketplace or aggregator that lists both vegetarian and non-vegetarian food (such as a food-delivery platform listing all kinds of restaurants) is not eligible, and Adlly will decline the entire brand rather than accept only its vegetarian listings. Only brands that are wholly free of Prohibited Materials across their business – such as pure-vegetarian restaurants and fully vegetarian, egg-free brands – are eligible.
  • “Indirectly” includes surrogate advertising, brand-extension or look-alike promotion that effectively promotes a Prohibited Material or a brand dealing in it. Adlly may, at its sole and absolute discretion, refuse, pause or remove any campaign or brand it considers to fall within or close to this restriction, and its decision shall be final and binding. The Advertiser warrants that neither it nor the brand it represents deals in any Prohibited Material, and must disclose any such dealing before a campaign begins; a breach of this warranty entitles Adlly to terminate immediately and withhold payment. No refund of any creative, onboarding, platform or non-utilised amount is owed for a campaign or brand declined or removed on this ground.
  • No political or election advertising: as a matter of Adlly’s platform policy, Adlly does not accept, approve or run any political or election-related advertising, whether directly or indirectly. This includes, without limitation: (a) advertising by or on behalf of any political party, candidate, politician, political organisation or affiliated body; (b) any content designed or likely to influence voter opinion, voting behaviour or electoral choice, or to promote or oppose any party, candidate, ideology or election outcome; (c) campaigns on elections, referenda, polls or political issues, including content framed as “public awareness”, “development work”, “social message” or similar where the underlying purpose is political or electoral; and (d) any such content during the period of an election, by-election or while a Model Code of Conduct or similar restriction is in force. Adlly may, at its sole and absolute discretion, refuse, pause or remove any campaign it considers to be political or election-related, and its decision shall be final and binding. No refund of any amount is owed for a campaign declined or removed on this ground, and the Advertiser shall indemnify Adlly against any claim, penalty or proceeding (including under election law) arising from such content.
  • Government and public-interest exception: the restriction above does not prevent Adlly from accepting genuine public-interest advertising issued by, or officially on behalf of, a Government department, ministry, public authority, statutory body or local government – such as awareness of a public scheme or welfare programme, health, vaccination, sanitation, road-safety, education, civic or similar non-partisan public messaging. Such advertising remains subject to the following conditions: (a) it must be issued by or with the proper authorisation of the concerned public body, and Adlly may require proof of authorisation; (b) it must be genuinely informational or public-interest in nature and must not promote, endorse, oppose or be attributable to any political party, candidate or politician, directly or indirectly; and (c) Adlly will not run any such advertising during the period an election, by-election, Model Code of Conduct or similar restriction is in force where doing so would breach applicable law or directions of the Election Commission. Adlly retains sole and absolute discretion to decline any government or public-interest advertising that it considers to carry political colour or legal risk.
  • You will pay Adlly the agreed amounts and Platform Fee on time.
  • You grant Influencers a limited licence to display your campaign content for the campaign duration.
  • You are responsible for the truth of your own product/service claims and will indemnify us for claims arising from your campaign content.

6. Payments, Fees & Taxes

  • Advertisers pay the campaign amount plus the applicable Platform Fee and taxes (including GST as applicable).
  • Influencer payouts are released only after the posting is verified through our proof process and after any applicable holdback/escrow period. We may apply a Green/Amber/Red review before release.
  • We may deduct TDS and other statutory amounts from payouts and remit them to the authorities.
  • We may withhold or reverse payment for posts that are not made, not disclosed, removed early, faked, or otherwise breach these Terms.
  • All fees are exclusive of taxes unless stated. Platform Fees are non-refundable once a campaign has gone live, except where required by law.

7. Verification, Trust Score & Anti-Fraud

To protect Advertisers and the integrity of the Platform, we operate verification and trust-scoring systems. We may verify identity (including KYC), check posting authenticity, score Influencer reliability, and route payouts through review tiers. We may suspend payouts, lower trust scores, or remove users who engage in fraud, fake posting, or manipulation. Our decisions on verification and fraud are final, acting reasonably and in good faith.

8. Intellectual Property

  • The Adlly name, logo, the A/Y wordmark, “Social Adspace”, “Social Hoarding”, the Platform software, designs and all related IP belong to Krishnasyam Adtech Private Limited (trademark applications pending). You may not copy, use or register anything confusingly similar.
  • Advertisers retain ownership of their own campaign creatives but license us and Influencers to use them for the campaign.
  • Any feedback or suggestions you give us may be used by us freely, without obligation to you.

9. Acceptable Use

You must not: (a) break any law or third-party right; (b) post hateful, obscene, defamatory or misleading content; (c) use bots, scraping, or fake engagement; (d) interfere with or attempt to hack the Platform; (e) impersonate others; (f) use Adlly to launder money or evade tax; or (g) misuse the Platform in any way we reasonably consider harmful. We may remove content and suspend accounts for breach.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted service, specific campaign results, reach, engagement, leads, or earnings. Any earning examples are illustrative, not promises.

11. Limitation of Liability

To the maximum extent permitted by Indian law:

  • We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, goodwill, data or business.
  • Our total aggregate liability to you for any and all claims arising out of or related to the Platform is limited to the total Platform Fees actually received by us from you in the three (3) months immediately before the event giving rise to the claim, or INR 5,000, whichever is lower.
  • Nothing in these Terms excludes liability that cannot be excluded under Indian law.

12. Indemnity

You agree to indemnify, defend and hold harmless Krishnasyam Adtech Private Limited, its directors, officers and employees from and against any claims, damages, penalties, losses and reasonable legal costs arising from: (a) your breach of these Terms; (b) content you post or submit; (c) your failure to disclose paid content; (d) your violation of any law or third-party right; or (e) your tax defaults. This obligation survives termination.

13. Suspension & Termination

  • You may stop using the Platform at any time and request account closure.
  • We may suspend or terminate your account, with or without notice, if you breach these Terms, engage in fraud, create legal risk, or where required by law.
  • On termination, verified amounts genuinely owed to you (less any deductions/withholdings) will be settled subject to our anti-fraud checks. Provisions on IP, liability, indemnity and disputes survive termination.

14. Changes to the Terms & Platform

We may modify these Terms or any feature of the Platform at any time. For material changes we will give reasonable notice via the app, email or WhatsApp. Continued use after changes take effect means you accept the revised Terms. If you do not agree, you must stop using Adlly.

15. Governing Law & Dispute Resolution

  • Governing law: these Terms are governed by and construed in accordance with the laws of India.
  • Amicable resolution: the parties will first attempt to resolve any dispute through good-faith discussion and our grievance process.
  • Arbitration: if unresolved, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Indore, Madhya Pradesh, and the language shall be English.
  • Jurisdiction: subject to arbitration, the courts at Indore, Madhya Pradesh shall have exclusive jurisdiction.

16. Grievance Officer

For complaints relating to the Platform or content, contact our Grievance Officer, Mr. Sudhir Rathi, at admin@adlly.in , Krishnasyam Adtech Private Limited, 303 Konark Apartment, 16/2 Manoramaganj, Indore (M.P.) – 452001. We will respond within the timelines prescribed under Indian law.

17. General

  • If any clause is held invalid, the rest remains in force.
  • Our failure to enforce a right is not a waiver of it.
  • You may not assign your rights without our consent; we may assign ours on a business transfer.
  • These Terms, together with the Privacy Policy and any campaign-specific terms, are the entire agreement between us.

By creating an account or using Adlly, you acknowledge that you have read, understood and agreed to these Terms & Conditions and to our Privacy Policy.
